Job Description

Accountabilities : ROC Compliances, SEBI Compliances and Subsidiary Compliance Management.

Responsibilities:

  • Approver for Meetings & Compliances relating to Companies Act / SEBI Regulations for the company & its Subsidiaries Compliance Management.
  • Monthly compliances closure through Compliance tool
  • Project Management: CSR, UPSI, SDD, ESOPs, RPT, PIT, data finalisation of BRSR Compliances, Audits, Assurances.
  • Approve Listing compliances under SEBI regulations
  • Approve all e-forms with ROC including Annual Filings with filings and certification
  • Diligence Report if any,
  • Preparation and Updation of statutory Records as per Co’s Act and SEBI regulations
  • Approval of FOC resolution, Board resolution(s) / Circular Resolutions as per need.
  • Approve Annual Disclosures / declarations to be received from Directors.
  • Finalisation of AGM Notice & Board’s Report, Annual Report
  • Review of RPT Transactions
  • CSR Compliances if any.
  • Review of various Policies, SOPs & Training modules as per Co’s Act & SEBI regulations.
  • Review of other routine Secretarial Work for listed as well as subsidiaries
  • Research and weekly reporting on: Amendment and updates
  • Review ATR / Weekly work updates / Monthly MIS presentations
  • Implementation of Standard Operating Processes
  • Internal follow-up
  • Annual Report data assimilation, gap assessment, benchmarking
  • Review and maintain UPSI / SDD / ESOPs
  • Compliance with all laws – Listed Co. and its subsidiaries
  • ESG / BRSR Core compliances
  • Data Management
  • Shareholder Grievances
  • Companies Act & SEBI compliances
  • Subsidiaries Compliances Management
  • Any other work as and when required.

Education Qualification

  • LLB/ L.L.B (Bachelor of Legislative Law)
  • LLM/ L.L.M (Master of Legislative Law)
  • CS
