Job Description

Roles and Responsibilities:

  • Preparation of Notice, Agenda with notes and templates, attendance sheet Board & Committee Minutes, AGM Minutes, EGM Minutes
  • Listing compliances under SEBI regulations
  • Preparation of all e-forms with ROC including Annual Filings with filings and certification
  • Diligence Report if any,
  • Preparation and Updation of statutory Records as per Co’s Act and SEBI regulations
  • Monthly compliances through Proind compliance tool
  • Drafting of FOC resolution, Board resolution(s) / Circular Resolutions as per need.
  • Annual Disclosures / declarations to be received from Directors.
  • Drafting of POAs, LOAs and maintaining its tracker.
  • AGM Notice & Board’s Report, Annual Report
  • Review of RPT Transactions
  • CSR Compliances if any.
  • Preparation of various Policies, SOPs & Training modules as per Co’s Act & SEBI regulations.
  • Other routine Secretarial Work for listed as well as subsidiaries
  • Research and weekly reporting on: Amendment and updates
  • ATR / Weekly work updates / Monthly MIS presentations
  • Implementation of Standard Operating Processes
  • Trackers and Payments
  • Internal follow-up
  • Annual Report data assimilation, gap assessment, benchmarking
  • UPSI / SDD / ESOPs
  • Compliance with all laws – Listed Co. and its subsidiaries
  • ESG / BRSR Core compliances
  • Data Management
  • Shareholder Grievances
  • Companies Act & SEBI compliances
  • Subsidiaries Compliances Management
  • Any other work as and when required.

Ideal candidate:

  • CS LLB with 10years experience (Preferably from FMEG / Wires & Cables Company)
  • Candidate must have knowledge of Companies Act 2013 and SEBI Listing Regulations
